[01] Gouvernement d'entreprise : la Commission lance une consultation sur
les droits des actionnaires
La Commission européenne a lancé une consultation publique sur la
manière de faciliter l'exercice des droits de base des actionnaires dans
les assemblées générales des sociétés et de résoudre les problèmes
que soulève l'exercice transfrontalier de ces droits, en particulier des
droits de vote. Les réponses seront prises en considération dans une
prochaine proposition de directive - qui fait partie du plan d'action de la
Commission sur le gouvernement d'entreprise. Les réponses doivent parvenir
à la Commission au plus tard le 16 décembre 2004.
[02] Commission clears Banco Santander's takeover bid for Abbey National
The European Commission has granted clearance, under the Merger Regulation,
to the proposed acquisition of UK bank Abbey National Plc by Banco
Santander Central Hispano S.A of Spain. The takeover raises no competition
concerns since the two banks presently operate mostly in different
countries.
[03] Commission clears TV ratings joint venture between VNU and WPP
The European Commission has granted regulatory clearance to a proposed
joint venture between VNU of the Netherlands and Britain's WPP which will
bring together their television audience measurement (TAM) services outside
North America. Although the resulting company will be one of the three
leading providers of TV ratings in Europe, the Commission has concluded
that there will remain sufficient competition in the market.
[04] Commission clears CD&R acquisition of Culligan, a US water treatment
company
The European Commission has granted clearance, under the Merger Regulation,
to a proposed operation whereby private equity investment fund Clayton,
Dubilier & Rice Fund VI Limited Partnership (CD&R, USA) acquires control of
the whole of the undertaking Culligan Corporation (USA) by way of purchase
of shares. Culligan provides water treatment products and related services.
(The operation, notified on 13 August, was examined under a simplified
procedure)
[05] Commission clears Centris call centre JV between Dutch postal services
operator TPG and Essent Retail
The European Commission has granted regulatory clearance, under the Merger
Regulation, to a proposed joint venture between Dutch undertakings
Koninklijke TPG Post B.V. (TPG Post) and Essent Retail Bedrijven B.V., a
supplier of electricity, gas and heat to private customers and SMEs, to
which they will contribute their respective call centre businesses. The
newly-created Dutch joint venture company will be called Cendris BSC
Customer Contact B.V. (The operation, which was notified on 17 August, was
examined under a simplified procedure)

inchangé par rapport à juillet, indique aujourd'hui Eurostat. Un an
auparavant, il s'élevait à 2,1%. Le taux d'inflation mensuel a été de 0,
2% en août 2004. Le taux d'inflation annuel de l'UE25 a été de 2,3%

s'élevait à 1,9%. Le taux d'inflation mensuel a été de 0,1% en août
2004.
