[01] Commission approves full take-over of Frosch Touristik (FTI) by
Airtours plc.
The European Commission has approved the full take-over of the German tour
operator Frosch Touristik GmbH (FTI) by the British travel firm Airtours
plc, which has held a 38.8% share in FTI since 1998 (approved by the
Federal Cartels Office on 25.2.2000). Now that the Commission has given the
go-ahead, the UK firm increases its share to 100% and takes full control
over FTI.
[02] Commission clears acquisition by Menzies (UK) of joint control of
Lufthansa Ground Services (UK)
The European Commission has authorised an operation whereby Menzies
Transport Services Limited [MTS] acquires joint control of Lufthansa Ground
Services (London Limited) [LGS], which is presently wholly owned by Globe
Ground GmbH, through the acquisition of 49% of the share capital. There are
no affected markets in the sense of the Merger Regulation, and the
operation will not change the present market structure or result in
additional foreclosure effects on the markets for passenger ground handling
and ramp handling services at Heathrow airport.
[03] La Commission autorise l'acquisition de la Société des Aciers
d'Armature pour le Béton (France) par Riva (Italie)
La Commission européenne a autorisé, sur la base de l'article 66 du traité
CECA et du règlement sur les concentrations, l'acquisition de la Société
des Aciers d'Armature pour le Béton (SAM) par Riva Acciaio SpA (Riva). Ces
deux sociétés fournissent des aciers d'armature à l'industrie de la
construction.
[04] La Commission autorise la création d'une entreprise commune par
Sextant et Diehl
La Commission européenne a autorisé la création d'une nouvelle entreprise
commune par Sextant (France) et Diehl (Allemagne) dans le secteur de
l'avionique. Cette nouvelle entreprise commune combinera les activités de
VDO-L, l'ancienne entreprise commune de Sextant/Diehl, et celles de Diehl
dans le secteur des systèmes de contrôle et de navigation.
[05] Commission gives Siemens conditional go-ahead to take control of
Mannesmann subsidiaries Dematic, VDO and Sachs. Bosch's acquisition of
Rexroth is still under examination
The European Commission today has given the go-ahead for Siemens AG to
acquire control of the Mannesmann subsidiaries Dematic, VDO and Sachs. The
authorisation has been granted in connection with the joint acquisition of
Mannesmann's Atecs industrial holding company by Siemens and Bosch. In
addition to Mannesmann-VDO, Mannesmann- Dematic and Mannesmann-Sachs, the
holding company also includes Mannesmann-Demag and Mannesmann-Rexroth.
Rather than controlling the five subsidiaries together through Atecs, the
purchasers intend to acquire control using control agreements and other
forms of agreement, whereby Demag will be the only Mannesmann subsidiary
jointly controlled by Siemens and Bosch through Atecs, while Rexroth will
be controlled solely by Bosch and VDO, Dematic and Sachs will be controlled
exclusively by Siemens. Today's decision by the Commission today concerns
only the latter cases. The Commission approved the acquisition of Demag by
Siemens and Bosch on 11 August 2000. As regards Bosch's acquisition of
Rexroth, the Commission has serious reservations about the compatibility of
the operation with the single market and has therefore decided to conduct a
detailed examination, which will last no longer than four months. MIDDAY
