[01] La Commission autorise la création d'une entreprise commune entre
Bertelsmann et Havas dans le secteur de la vente de livres en langue
française sur Internet
La Commission européenne a décidé d'autoriser la création d'une entreprise
commune en France, dénommée BOL SNC (BOL France), entre Bertelsmann AG
(Allemagne) et Havas SA (groupe Vivendi, France). BOL France sera actif
dans le secteur de la vente de livres en langue française aux particuliers
par Internet. L'opération ne conduit ni au renforcement ni à la création
d'une position dominante.
[02] Commission clears merger between Kuoni and First Choice in the travel
sector
The European Commission has given the green light to a merger in the travel
sector which will combine the activities of the Swiss public company Kuoni
Reisen Holding AG, active in travel services, and the UK company First
Choice Holdings plc, active as a tour operator in the UK, Ireland and
Canada, and with charter airline and travel agency operations in the UK and
Ireland. The new company's shares of tour operator, travel agency and
charter airline markets in the European Union are not such as to cause
competition concerns and are smaller than those of some of its competitors.
[03] La Commission autorise l'acquisition du contrôle conjoint d'Indra par
Thomson-CSF, Caja Madrid et Banco Zaragozano
La Commission européenne a autorisé l'acquisition du contrôle conjoint de
la société espagnole Indra, spécialisée dans la fabrication de systèmes
d'information et de contrôle, par le fabriquant français de systèmes
électroniques et de défense, Thomson-CSF, et deux établissements financiers
espagnols, Caja Madrid et Banco Zaragozano. Cette opération se place dans
le cadre de la privatisation récente d'Indra. La Commission est parvenue à
la conclusion que cette acquisition ne crée ni ne renforce de position
dominante sur un quelconque marché de produits ou géographique.
[04] Commission approves the acquisition by Johnson & Son (USA) of a 35%
share in the Cofresco joint venture from Dow Chemicals (USA)
The European Commission has approved the acquisition by the US company S.C.
Johnson & Son of a 35% share in the joint venture Cofresco Frischhalteprodukte
GmbH & KG from Dow Chemicals. Cofresco is active in the production and sale
of household packaging. The German company Melitta Benz KG continues to
hold the 65% share in the joint venture. On the completion of the operation
Melitta and Johnson will have joint control of Cofresco. The operation does
not raise competition concerns.
