    [01] Commission prohibits Bertelsmann/Kirch/Premiere and Deutsche Telekom/ Betaresearch mergers

    The European Commission decided unanimously to prohibit the intended acquisition of joint control by CLT-UFA and Kirch of the German Pay TV- Provider Premiere and of BetaDigital until now solely controlled by Kirch. The aim of the intended merger is to develop Premiere into a joint digital Pay-TV channel and marketing platform incorporating Kirch's current digital television activities and on the basis of the d-box technology provided to Premiere by Kirch. The technical services required for the provision and broadcasting of digital Pay-TV programmes will be supplied by BetaDigital. At the same time, the Commission decided to prohibit the intended acquisition of joint control by CLT-UFA, Kirch and Deutsche Telekom of BetaResearch, a company until now solely controlled by Kirch. In the context of this intended operation, Deutsche Telekom would build a technical platform for the digital distribution of pay-tv-programs over its cable tv network and supply the technical services required for the provision and broadcasting of digital pay-tv programmes using Kirch's Beta access technology and its d-box decoder. The aim of the intended merger is to ensure Deutsche Telekom's access to the Beta-technology. Both operations would set the framework for digital pay-TV in Germany. Premiere would achieve a monopoly position as a programme platform and as a marketing platform. A dominant position for technical services for pay TV would be achieved by BetaDigital for satelites and by Deutsche Telekom for its cable network. At the same time, Deutsche Telekom would strengthen its dominant position for cable networks. The parties had proposed undertakings at a very late phase of the proceeding, which were however not sufficient to remove the substantial competition concerns of the Commission. Yesterday, the Commission made one last attempt to find an agreement with the parties. The Commission's proposed solution was however rejected by one of the parties concerned.

    [02] Commission approves a joint venture in the Finnish credit insurance sector

    The European Commission has approved the creation of a joint venture between German Hermes Versicherungsbeteiligungs GmbH, Insurance Company of Finland Ltd and the Finnish state export credit agency Finnish Guarantee Board (FGB) in the sector of credit insurance. FGB will transfer its marketable credit risk business into the joint venture. The business concerning non-marketable credit risks (political risks) will, however, remain within FGB.

    La Commission européenne a autorisé la première entreprise commune de plein exercice, analysée au titre du règlement des fusions récemment modifié. L'entreprise commune de Telia, Telenor Nextel et Schnibted Multimedia fournira des services d'accès Internet en Suède. La Commission a conclu que l'opération ne créera ni ne renforcera une position dominante. Elle ne mènera pas non plus à une coordination des comportements concurrentiels des entreprises-mères.

    [04] Commission clears a joint venture between BT, ESB and AIG to provide telecommunications services in Ireland

    The European Commission has cleared a joint venture between British Telecommunications plc (BT), the Electricity Supply Board of Ireland (ESB) and the American International Group (AIG). The new entity, Newco, will provide a range of telecommunications products and services to customers in Ireland. Newco will be jointly controlled by BT, ESB and AIG. The creation of Newco is a pro-competitive development in the Irish telecommunications market which will bring further competition to the incumbent operator. Newco's entry to the Irish market does not prejudice the opportunities for market entry by others.

    [05] La Commission autorise une opération de concentration en Suède dans le secteur de l'électricité

    La Commission européenne a donné le feu vert à une opération par laquelle Electricité de France International (EDFI) et Skandrendraft A.B., deux filiales d'Electricité de France (EDF), et un groupe d'actionnaires, tous membres de la même famille (ci-après "la famille"), feront l'acquisition du contrôle conjoint de l'entreprise suédoise Graningeverkens AB par le biais d'une coordination de leurs droits de vote aux assemblées générales. A cet effet, le groupe EDF a conclu des accords avec les actionnaires de la famille. L'entreprise suédoise exerce ses activités dans les secteurs de la production et de la distribution d'électricité, du chauffage urbain et de la transformation du bois (sciage).

    [06] Commission has authorised the acquisition of Atohaas by Atochem

    The European Commission has authorised the operation by which Elf Atochem acquires the shares held by Rohm and Haas in their Atohaas joint venture. he operation will result in Elf Atochem acquiring sole control of Atohaas and its whole capital. Atohaas is active in the market of organic glass or acrylic glass, known under the trade names "plexiglas" and "altuglas". Given that the operation will not result in any increase of the market share and that there are strong competitors such as : Veba/Degussa, BASF or ICI. The Commission concludes that the operation does not create or strengthen a dominant position as a result of which effective competition would be significantly impeded in the common market or any substantial part thereof.

    [07] Le PIB de l'UE a augmenté de 2,6% en 1997

    Le PIB de l'Union européenne des 15 (UE15) et celui de l'EUR-11, en termes réels, ont augmenté de respectivement 2,6% et 2,5% l'année dernière, selon les estimations revisées publiées aujourd'hui par Eurostat, l'Office statistique des Communautés à Luxembourg. Pour les deux zones, la croissance s'est élevée 0,6% au quatrième trimestre 1997 par rapport au troisième. Elle était de 0,7% au troisième trimestre par rapport au deuxième. Elle avait atteint 3,0% comparé au quatrième trimestre de 1996, pour les deux entités. Selon Eurostat, ces résultats sont dus principalement à l'augmentation de la consommation privée pendant le dernier trimestre de l'année 1997, celle-ci s'élevant à 0,8% pour l'UE et à 0,7% pour l'EUR-11. L'excédent commercial de l'UE (2,6 du PIB) a légèrement baissé à cause du ralentissement de la croissance des exportations : 1,3% comparé aux 3,5% du troisième trimestre. L'excédent commercial de l'EUR-11 était plus élevé avec 3,4% du PIB.

    [08] Hormones : la sentence d'arbitrage fixe à 15 mois la période de mise en oeuvre des décisions et recommandations de l'organe d'appel de l'OMC

    ( ! embargo 29 mai !) L'Ambassadeur Julio A. Lacarte-Muró, qui avait été désigné comme arbitre par le Directeur général de l'Organisation Mondiale du Commerce (OMC) dans le litige opposant l'Union européenne (UE) aux Etats- Unis et au Canada dans le dossier "hormones" a rendu sa sentence d'arbitrage et fixé à 15 mois le délai dans lequel l'UE devra mettre sa législation en conformité avec les décisions et recommandations de l'Organe d'Appel de l'OMC, adoptés le 13 février 1998. L'UE, qui avait annoncé, dès le prononcé des décisions en cause, son intention de se conformer à celles- ci, avait plaidé devant l'arbitre la nécessité objective de disposer du temps minimal demandé par les scientifiques pour l'évaluation du risque, jugée insuffisamment ciblée par l'Organe d'Appel. A ce propos, des études scientifiques sont en cours sur les risques pour les consommateurs, de l'utilisation des hormones dans l'élevage du bétail. L'UE a pris note de l'échéance fixée par l'arbitre et examine les moyens de mettre en oeuvre le rapport de l'Organe d'Appel dans ce contexte. L'UE réaffirme son attachement profond à la fois au respect des règles du commerce international et au droit inaliénable de ses citoyens à la meilleure protection possible de la santé humaine.

    [09] Green light given to the creation of a EU network for the epidemiological surveillance and control of communicable diseases

    Last night, the European Parliament and the Council of Ministers succeeded in resolving their remaining differences over the operation and scope of the European network for the epidemiological surveillance and control of communicable diseases. Hailing the agreement as a major step in the fight against infectious diseases, European Commissioner for Social affairs Padraig Flynn said that "for the first time, there will be a European Union- wide mechanism which will enable us to to rapidly raise the alarm on outbreaks and provide for a coordinated response. Such a mechanism is essential given the re-emergence of threats from diseases once thought conquered and the appearance of new diseases and pathogens." He stressed that with fast travel and globalised trade it was more important than ever to tackle outbreaks of communicable diseases at source and take rapid measures for the protection of human health. The network will link the surveillance centres of the Member States and the Commission and will provide the platform for the coordination of preventive and protective measures to be taken by the relevant authorities, including the issue of recommendations and information to the public.

    [10] Yves-Thibault de Silguy : "Mobiliser les administrations nationales et locales pour assurer le succès de l'euro"

    "A ce jour, tous les Etats membres participant à l'euro ont publié un plan de basculement de leurs administrations, mais pour les administrations locales, l'effort à accomplir reste significatif", a affirmé le Commissaire européen Yves-Thibault de Silguy, chargé des affaires économiques, financières et monétaires, intervenant à Bruxelles devant le Commissariat général à l'euro, structure belge chargée de la préparation à l'euro. Le Commissaire a saisi cette occasion pour dresser un bilan de la préparation de l'ensemble des administrations publiques en Europe. Un réseau informel de coopération et d'échange d'informations entre les administrations nationales a été créé : il a facilité l'apparition d'une approche harmonisée et a permis aux Etats membres moins avancés de bénéficier de solutions déjà mises au point par d'autres. La Commission publie périodiquement un document comparant l'état des préparatifs, et la Belgique y figure parmi les meilleurs. es préparatifs progressent également dans les Etats hors de la zone euro : par exemple, le Royaume-Uni a annoncé son intention de publier un plan de basculement de son administration à la fin de l'année. Deux questions particulièrement importantes sont encore en cours d'examen par les administrations nationales : la fixation de nouveaux arrondis pour tous les montants inscrits dans la réglementation nationale et la durée de la phase de double circulation en 2002. Sur le premier point, M. de Silguy a souhaité que le passage à l'euro ne se traduise pas par un alourdissement fiscal. Sur le deuxième point, il a rappelé l'intention de l'Allemagne de retirer le cours légal du DM dès le 1er janvier 2002 au profit de l'euro.

    [11] Franz Fischler : "Give a chance to people to preserve the diverse functions of the rural areas"

    Today European Commissioner for Agriculture et Rural development Franz Fischler spoke on the role of agriculture in the process of enlargement of the European Union (EU) at the regional conference of the Food and Agriculture Organisation (FAO) in Tallin. "The Commission will insist on the fact that proposed development strategies for enlargement will be compatible with the future Common Agricultural Policy", Mr Fischler said. He underlined that ECU 500 million annually will not be allocated to ten candidate-countries to boost production in sensitive sectors but rather much more to ensure the economic and political stability of rural areas during a period of fundamental change. "As agriculture has a bigger importance in the economies of the applicant countries than it has in the EU, we must be alert, not to overstrain the rural areas on both sides during the processus of integration", Mr Fischler remarked.
